

Section 1. Annual Meeting. The annual meeting of the Association shall be held at the discretion of the Board of Directors each year, the date, place and hour to be designated by the Board of Directors. Section 2. Meetings of Directors. The Board of Directors shall designate a regular time and place of meeting. Absence from three (3) consecutive regular meetings without an excuse deemed valid by the Board of Directors shall be construed as resignation therefrom. Nine (9) Members of the Board of Directors shall constitute a quorum. Section 3. Other Meetings. Meetings of the Members may be held at such other times as the President or Board of Directors may determine or upon the written request of at least ten percent (10%) of the REALTOR® Members eligible to vote. Section 4. Notice of Meetings. Written notice shall be given to every Member entitled to participate in the meeting not less than one (1) week preceding all meetings. If a special meeting is called it shall be accompanied by a statement of the purpose of the meeting. Section 5. Quorum. A quorum for the transaction of business shall consist of five percent (5%) of those Members eligible to vote provided that notice as provided in Section 4 above has been given. Section 6. Electronic Transaction of Business. To the fullest extent permitted by law, the Board or membership may conduct business by electronic means. Section 7. Action Without Meeting. Any action required or permitted to be taken at a Board of Directors meeting may be taken without a meeting if the action is taken by all members of the Board of Directors. The actions would be evidenced by one or more written consents signed by each director before or after each action, describing the action taken, which consent(s) shall be included in the minutes. Action is effective when the last Director signs the consent, unless the consent specifies a different effective date.ARTICLE XII - MEETINGS
